1. Introduction and Platform Overview
These Platform Terms of Use (the “Terms”) govern access to and use of the Movyya online platform, including the website at movyya.com, our systems, tools, and any related applications or services made available from time to time (collectively, the “Platform”).
The Platform is operated by Movyya LLC, a limited liability company registered in the State of Wyoming, United States of America (Entity Number 2026-001958849), with its registered office at 312 W 2nd St, Unit #A9656, Casper, Wyoming 82601, USA (the “Company”, “Movyya”, “we”, “us”, or “our”).
Movyya operates a technology-enabled hospitality marketplace that facilitates the publication, discovery, and booking of accommodations, vehicles, restaurants, personal chefs, salons, barbershops, spas, and related services offered by independent third-party hosts or vendors (“Hosts”) to end users (“Guests”). Movyya does not itself provide rental items or services and does not act as a service provider, property owner, carrier, insurer, or agent.
These Terms constitute a legally binding agreement between you and the Company. By accessing or using the Platform in any manner, including browsing, creating an account, publishing a listing, completing a booking, or registering for early access, you confirm that you have read, understood, and agreed to be bound by these Terms and all policies incorporated by reference.
If you do not agree to these Terms, you must not access or use the Platform.
2. Definitions, Interpretation, and Contractual Hierarchy
2.1 Definitions
In these Terms, unless the context otherwise requires:
- “Account” means a registered user account created to access and use the
- “Booking” means a confirmed reservation or transaction made through the
- “Content” means all text, data, images, listings, descriptions, reviews, messages, documents, and other materials submitted or displayed on the Platform.
- “Guest” means a User who searches for, requests, or completes a
- “Host” means a User who publishes or offers a listing or service through the Platform.
- “Listing” means any rental item, service, or offering published by a Host on the
- “Policies” means all platform policies incorporated by reference, including the Privacy Policy, Host / Vendor Terms, Payment, Refund & Cancellation Policy, Dispute Resolution Policy, Code of Conduct, Reviews & Ratings Policy, Cookie Policy, and Internal Investigations & Enforcement Policy.
- “User” means any individual or legal entity that accesses or uses the Platform, whether as a Guest, Host, or otherwise.
2.2 Interpretation
Headings are for convenience only and do not affect interpretation. References to “including” mean “including without limitation.” Words in the singular include the plural and vice versa.
2.3 Hierarchy and Precedence
These Terms operate together with the Policies. In the event of any inconsistency or conflict:

3. Eligibility, Legal Capacity, and User Representations
3.1 Age and Capacity
You must be at least eighteen (18) years of age, or the legal age required to enter into binding contracts in your jurisdiction, to use the Platform.
3.2 Authority
If you access or use the Platform on behalf of a company, partnership, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.
3.3 Legal Compliance
You represent and warrant that your use of the Platform complies with all applicable laws, regulations, sanctions, and local requirements in any jurisdiction in which you operate or transact.
The Company reserves the right to restrict or refuse access to the Platform where continued access would expose the Company to legal, regulatory, or compliance risk.
4. Account Registration, Verification, and Security Controls
4.1 Account Creation
Access to certain features of the Platform requires the creation of an Account. The Company may approve, reject, suspend, or terminate any Account at its discretion.
4.2 Information Accuracy
You agree to provide complete, accurate, and up-to-date information at all times. Providing false, misleading, or incomplete information constitutes a material breach of these Terms.
4.3 Verification and Due Diligence
The Company may require identity verification, documentation, in-person property or business visits, or other information for compliance, security, or operational purposes. Movyya conducts verification visits for many Listings before they are published on the Platform; however, any verification performed does not constitute endorsement, certification, or assurance of any User or Listing.
4.4 Account Security
You are solely responsible for safeguarding your Account credentials and for all activity conducted through your Account. The Company is not liable for losses resulting from unauthorised access where reasonable security measures were not taken.
5. User Categories and Role Allocation
5.1 Guests
Guests may browse Listings, submit Booking requests, complete Bookings, communicate with Hosts, and submit reviews, subject to these Terms and applicable Policies.
5.2 Hosts
Hosts may publish Listings and accept Bookings subject to:
- the Host / Vendor Terms;
- compliance with listing standards and verification requirements;
- ongoing compliance with applicable licensing, safety, tax, and consumer laws
5.3 Dual Roles
A User may act as both a Guest and a Host, provided that obligations applicable to each role are complied with independently.
6. Marketplace Structure and Platform Role Disclaimer
6.1 Intermediary Status
Movyya operates solely as a marketplace intermediary. The Company does not:
- own, lease, manage, or control any Listings;
- enter into rental or service contracts;
- act as an agent, broker, or insurer for any User.
6.2 No Agency or Fiduciary Relationship
Nothing in these Terms creates any agency, partnership, joint venture, fiduciary, employment, or franchising relationship between the Company and any User.
6.3 No Guarantees or Insurance
Unless expressly stated otherwise in writing, the Company does not provide guarantees, warranties, insurance, or damage protection in relation to any Listing or Booking.
7. Listings, Host Obligations, and Verification Standards
7.1 Listing Accuracy and Legality
Hosts are solely responsible for ensuring that all Listings and related Content are accurate, complete, lawful, and not misleading, and that they comply with all applicable laws and regulations.
7.2 Licensing and Permissions
Hosts represent and warrant that they hold all licences, permits, approvals, and authority required to offer the Listing and fulfil Bookings.
7.3 Ongoing Disclosure
Hosts must promptly update Listings to reflect any material changes, including availability, pricing, restrictions, or legal status.
7.4 Platform Review and Removal Rights
The Company reserves the right, without obligation or liability, to review, moderate, suspend, remove, or restrict any Listing or Content to manage risk, ensure compliance, or protect the integrity of the Platform.
7.5 No Endorsement
Publication of a Listing does not constitute approval, recommendation, or endorsement by the Company.
8. Search Results, Ranking Logic, and Promotional Visibility
8.1 Search and Ranking Parameters
Listings displayed on the Platform may be ordered, ranked, or presented based on a variety of automated and non-automated factors, which may include (without limitation):
- relevance to search criteria and filters applied;
- availability, pricing, and booking history;
- user preferences, activity, and past interactions;
- reviews, ratings, and performance indicators;
- compliance history and reliability metrics;
- commercial arrangements, promotions, or sponsored placements.
The Company does not guarantee any specific ranking, placement, visibility, or level of exposure for any Listing.
8.2 Sponsored and Featured Listings
Certain Listings may be displayed more prominently as a result of paid promotions or other commercial arrangements. Such placement does not constitute endorsement, verification, or assurance of quality by the Company.
8.3 Platform Discretion
The Company reserves full discretion to modify, adjust, suspend, or replace search algorithms, ranking criteria, and display logic at any time for operational, commercial, compliance, or risk management purposes, without liability to any User.
9. Booking Process and Contract Formation
9.1 Booking Mechanisms
Bookings may be offered on an instant confirmation basis or on a request-and-approval basis, depending on Host settings, Listing type, and Platform functionality.
A Booking is deemed confirmed only when:
- the Guest receives a booking confirmation through the Platform; and
- applicable payment authorisation has been successfully completed.
9.2 Formation of Contract
Each confirmed Booking creates a direct, legally binding contract exclusively between the Guest and the Host. The Company is not a party to that contract and does not assume responsibility for its performance, enforcement, or breach.
9.3 Booking Information Responsibility
Guests are solely responsible for reviewing all Listing details, rules, restrictions, cancellation terms, and disclosures prior to confirming a Booking. Errors, misunderstandings, or assumptions do not relieve Guests of contractual obligations.
10. Pricing, Platform Fees, and Taxes
10.1 Pricing Responsibility
Hosts are solely responsible for setting prices, availability, conditions, and any additional charges disclosed in their Listings, subject to Platform rules and verification standards.
10.2 Platform Service Fee Structure
Movyya operates a tiered commission structure based on Host status:
- Founding Hosts (the first 100 Hosts per country during the founding host program) pay a platform service fee equal to nine percent (9%) of the booking value.
- Standard Hosts (all Hosts other than Founding Hosts) pay a platform service fee equal to sixteen percent (16%) of the booking value.
The platform service fee is calculated on the booking value and is payable in accordance with the Host / Vendor Terms.
The platform service fee is strictly non-refundable once a Booking is confirmed, except where required by mandatory applicable law.
10.3 Guest Booking Fees
Movyya may charge Guests a booking fee in connection with confirmed Bookings. The amount and structure of any Guest booking fee will be disclosed prior to checkout and confirmed at the time of Booking.
10.4 Taxes and Government Charges
Unless expressly stated otherwise, prices displayed on the Platform do not include taxes, duties, levies, or governmental charges. Hosts are solely responsible for determining, collecting, reporting, and remitting any applicable taxes.
10.5 Currency Conversion
Currency conversion is provided for convenience only. Actual charged amounts may vary due to exchange rates, processor fees, or banking practices, and the Company assumes no responsibility for such variations.
11. Payments, Payment Processing, and Chargebacks
11.1 Third-Party Payment Processing
Payments made through the Platform are processed by third-party payment service providers. The Company does not operate as a bank, escrow agent, or money transmitter unless expressly stated.
11.2 Payment Authorisations
By completing a Booking, Guests authorise the Company and its payment processors to charge the applicable amounts, including service fees, booking fees, taxes (where applicable), and authorised adjustments.
11.3 Failed Payments and Chargebacks
Failed payments, chargebacks, reversals, or disputes may result in:
- cancellation of the Booking;
- suspension or restriction of the Account;
- withholding of payouts;
- recovery action against the responsible User.
The Company may allocate chargeback-related costs, penalties, or losses to the User responsible for the underlying transaction.
11.4 Future Payment Methods
The Platform may introduce additional payment methods in future phases, including alternative digital payment solutions or cryptocurrency, subject to applicable laws and additional terms.
12. Cancellations, Refunds, and Booking Modifications
12.1 Free Cancellation Window
Unless otherwise required by mandatory law, Guests may cancel a Booking within forty-eight (48) hours of confirmation for a refund of rental-related charges, excluding the non-refundable platform service fee and any non-refundable Guest booking fee.
12.2 No Refunds After Cancellation Window
Cancellations made after the applicable free cancellation period are not eligible for refunds, except where required by law or expressly authorised by the Company.
12.3 Platform-Level Authority
Notwithstanding any other provision, the Company reserves the right to issue refunds, credits, or alternative resolutions where necessary to:
- comply with legal or regulatory obligations;
- address fraud, abuse, or security concerns;
- manage platform-wide disruptions or exceptional circumstances.
12.4 Modifications
Booking modifications are subject to Host approval, Platform rules, and availability, and may result in adjusted pricing or fees.
13. Reviews, Ratings, and User-Generated Content
13.1 Eligibility to Review
Only Users who have completed a Booking may submit reviews or ratings relating to that Booking.
13.2 Content Standards
Reviews and other Content must be truthful, lawful, relevant, and not misleading, defamatory, or abusive.
13.3 Licence Grant
By submitting Content, Users grant the Company a worldwide, non-exclusive, royalty-free, sublicensable licence to use, reproduce, display, modify, and distribute such Content for Platform operations, improvement, and marketing.
13.4 Moderation and Removal
The Company may monitor, moderate, remove, or restrict Content at its discretion, including where Content violates Policies, legal requirements, or community standards.
13.5 No Accuracy Guarantee
The Company does not verify or guarantee the accuracy, reliability, or completeness of reviews or ratings and does not endorse User opinions.
14. User Conduct and Prohibited Activities
14.1 General Conduct Obligations
Users must use the Platform lawfully, honestly, and in good faith, and must not engage in conduct that undermines trust, safety, or platform integrity.
14.2 Prohibited Activities
Users must not:
- engage in fraud, misrepresentation, or deceptive practices;
- circumvent Platform fees, systems, or policies;
- solicit or complete off-platform transactions in violation of the Host / Vendor Terms;
- manipulate reviews, ratings, or rankings;
- misuse data, scrape content, or interfere with Platform infrastructure;
- harass, threaten, discriminate against, or abuse other Users.
14.3 Enforcement Consequences
Violations may result in warnings, restrictions, suspension, termination, financial holds, or escalation to the Internal Investigation Panel for binding determination.
15. Intellectual Property Rights and Platform Licence
15.1 Platform Intellectual Property
All intellectual property rights in and to the Platform, including its software, design, layout, algorithms, databases, trademarks, logos (including the Movyya name and brand marks), and content (excluding User Content), are owned by or licensed to the Company.
Nothing in these Terms grants Users any ownership rights in the Platform or its intellectual property.
15.2 Limited Licence to Users
Subject to compliance with these Terms, the Company grants Users a limited, non-exclusive, non- transferable, revocable licence to access and use the Platform solely for its intended purpose.
15.3 User Content Licence
By submitting Content, Users grant the Company a worldwide, royalty-free, perpetual, irrevocable, sublicensable licence to use, reproduce, modify, translate, distribute, display, and otherwise exploit such Content for Platform operation, improvement, compliance, enforcement, and marketing purposes.
15.4 Restrictions
Users must not copy, scrape, reverse engineer, decompile, or otherwise exploit the Platform or its intellectual property except as expressly permitted by law.
16. Communications, Notices, and Electronic Consent
16.1 Electronic Communications
Users consent to receive all communications, notices, and disclosures electronically, including via email, in- app notifications, the Platform interface, or messaging services such as WhatsApp Business.
16.2 Transactional and Marketing Communications
The Company may send transactional messages relating to Bookings, Accounts, compliance, or enforcement. Marketing communications will be sent subject to user consent and applicable law.
16.3 Legal Effect
Electronic communications and records satisfy any legal requirement for written notice or record-keeping, to the maximum extent permitted by law.
17. Monitoring, Enforcement, and Platform Remedies
17.1 Monitoring Rights
The Company may monitor Platform activity, Content, and transactions for compliance, security, fraud prevention, risk management, and enforcement purposes.
17.2 Enforcement Measures
Where the Company identifies or reasonably suspects a violation of these Terms or any Policy, it may take corrective action, including:
- issuing warnings or notices;
- restricting or suspending Accounts;
- removing or de-ranking Listings or Content;
- withholding payments or payouts;
- permanently terminating Accounts.
17.3 No Obligation to Act
The Company is not obliged to monitor or enforce against every violation and shall not be liable for failing to take enforcement action in any particular case.
18. Internal Investigation Panel (IIP) and Enforcement Authority
18.1 Mandatory Escalation Framework
Certain disputes, complaints, or incidents may be escalated to the Company’s Internal Investigation Panel (IIP) in accordance with the Internal Investigations & Enforcement Policy.
18.2 Independence and Process
The IIP operates as an independent internal governance body. It reviews matters based on evidence, Platform records, applicable Policies, and relevant law.
18.3 Binding Determinations
IIP determinations are final and binding on Users, subject only to mandatory rights under applicable law. Users agree to cooperate fully with any IIP investigation.
18.4 Enforcement Powers
The IIP may authorise enforcement actions, including suspensions, terminations, payment holds, refunds, or other remedies deemed appropriate.
19. Disputes Between Users
19.1 User-to-User Disputes
Disputes arising between Guests and Hosts are primarily the responsibility of those Users. The Company does not act as an arbitrator, agent, or representative for either party.
19.2 Cooperation Obligations
Users agree to cooperate in good faith with any investigation, evidence request, or information requirement arising from a dispute or IIP review.
19.3 Platform Role Limitation
The Company’s involvement in disputes is limited to facilitation, investigation, or enforcement under its Policies and does not create liability for dispute outcomes.
20. Limitation of Liability
20.1 Excluded Losses
To the maximum extent permitted by law, the Company shall not be liable for:
- indirect, incidental, consequential, special, or punitive damages;
- loss of profits, revenue, data, or business;
- personal injury, property damage, or losses arising from Listings or
20.2 Platform Disclaimer
The Platform is provided on an “as is” and “as available” basis. The Company makes no warranties regarding availability, accuracy, or uninterrupted access.
20.3 Liability Cap
To the extent liability cannot be excluded, the Company’s total aggregate liability shall not exceed the total platform service fees paid by the User in the twelve (12) months preceding the claim.
21. Indemnification
21.1 User Indemnity
Users agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses arising from:
- breach of these Terms or Policies;
- misrepresentation or inaccurate Listings;
- violation of laws or third-party rights;
- disputes with other Users;
- misuse of the

This indemnity obligation survives termination of these Terms and continued use of the Platform.
22. Suspension, Termination, and Account Closure
22.1 Termination by the Company
The Company may, at its sole discretion and without prior notice where permitted by law, suspend, restrict, or terminate any Account, Listing, or access to the Platform where it determines that a User has:
- breached these Terms or any Policy;
- provided false, misleading, or incomplete information;
- engaged in fraud, abuse, or prohibited conduct;
- exposed the Company to legal, regulatory, reputational, or financial risk;
- failed to comply with an IIP determination or
22.2 Effect of Termination
Upon suspension or termination:
- access to the Account and Platform may be immediately disabled;
- active Listings may be removed or deactivated;
- pending or future Bookings may be cancelled;
- payouts may be withheld pending investigation or resolution of disputes.Termination does not relieve a User of obligations accrued prior to termination.
22.3 User-Initiated Account Closure
Users may request account closure in accordance with Platform procedures, subject to:
- completion of pending Bookings;
- resolution of disputes or investigations;
- compliance with legal, accounting, and regulatory retention requirements.
22.4 Survival
Sections relating to liability, indemnification, dispute resolution, governing law, and enforcement survive termination.
23. Regulatory Compliance, Risk Allocation, and Assumption of Risk
23.1 User Compliance Responsibility
Users are solely responsible for complying with all applicable laws, regulations, licensing requirements, tax obligations, and safety standards applicable to their activities, Listings, and Bookings.
The Company does not provide legal, tax, regulatory, or compliance advice.
23.2 No Regulatory Assurance
Any information provided by the Platform regarding laws, taxes, or regulatory matters is for general guidance only and must not be relied upon as authoritative.
23.3 Assumption of Risk
Users acknowledge and agree that participation in Bookings involves inherent risks. To the maximum extent permitted by law, Users assume all risks arising from their use of the Platform and participation in transactions.
23.4 Consumer Law Savings Clause
Nothing in these Terms limits or excludes rights that cannot be lawfully excluded under mandatory consumer protection laws.
24. Governing Law, Jurisdiction, and Dispute Resolution
24.1 Governing Law
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to conflict-of-law principles, save for mandatory consumer protection laws of the Users’ country of residence which may apply.
24.2 Good Faith Resolution Requirement
Before commencing any arbitration, court proceedings, or formal dispute resolution process, Users agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or a Booking (“Dispute”) in good faith.
This good-faith process requires:
- timely written notice of the Dispute to the other party; and
- a genuine effort to resolve the matter through informal discussions or
Failure to engage in good faith may be taken into account in any subsequent arbitration or legal proceeding, to the extent permitted by law.
24.3 Mandatory Escalation to Internal Investigation Panel (IIP)
Where applicable under the Policies, Disputes must first be escalated to the Company’s Internal Investigation Panel (IIP) prior to arbitration or court proceedings, except where prohibited by mandatory law.
Users acknowledge and agree that:
- the IIP operates as an internal governance and risk-management function;
- IIP determinations may include binding enforcement measures under the Policies;
- escalation to the IIP does not create any duty on the Company to represent, defend, or advocate for any User.
24.4 Arbitration
If a Dispute cannot be resolved through good-faith discussions and, where applicable, IIP escalation, the Dispute shall be finally resolved by arbitration, unless mandatory law provides otherwise.

24.5 No Obligation to Intervene in Host, Guest Disputes
Users expressly acknowledge and agree that:
- any Booking creates a direct contractual relationship solely between the Guest and the Host;
- the Company is not a party to that relationship; and
- the Company has no obligation to mediate, negotiate, arbitrate, enforce, or otherwise intervene in disputes between Guests and Hosts.
Any assistance, facilitation, investigation, or enforcement action undertaken by the Company or the IIP is:
- discretionary only;
- undertaken for platform governance, compliance, or risk-management purposes; and
- does not create any duty, liability, agency, or assumption of responsibility toward any User.
24.6 Jurisdiction for Injunctive and Protective Relief
Notwithstanding the foregoing, the Company may seek injunctive, equitable, or protective relief in any court of competent jurisdiction where necessary to protect:
- its intellectual property;
- confidential information;
- platform integrity; or
- enforcement of these Terms and the Policies.
25. Amendments, Assignment, Severability, and Entire Agreement
25.1 Amendments
The Company may amend these Terms from time to time. Updated Terms will be made available on the Platform, and continued use constitutes acceptance of the revised Terms.
25.2 Assignment
The Company may assign or transfer its rights and obligations under these Terms without restriction. Users may not assign these Terms without prior written consent.
25.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
25.4 Entire Agreement
These Terms, together with the Policies, constitute the entire agreement between the User and the Company regarding use of the Platform and supersede all prior agreements or understandings.
